Compliant B2B - B2B RETURN & REFUND POLICY
Phone System Global™ operates strictly as a Business-to-Business (B2B) telecommunication and technology infrastructure provider. Due to the digital nature of provisioning global eSIM profiles, MVNO API integrations, and wireless data bandwidth, all wholesale sales and digital transactions are considered final.
1. DIGITAL eSIM PROFILES & TELECOM SERVICES
Refunds or credits will only be evaluated and issued under the following specific technical conditions:
- The eSIM profile completely fails to provision, activate, or download on a verified compatible smartphone/device due to a direct system or network error on the part of Phone System Global™.
- The corporate client submits a formal technical support ticket within forty-eight (48) hours of the provisioning failure, including device logs or error screenshots.
- Technical support is unable to resolve or re-provision the profile within 3 business days of the initial ticket.
No refunds or credits will be issued for:
- Local carrier coverage drops or cellular dead zones outside our network backbone control.
- Incompatibility issues stemming from end-user devices that are carrier-locked or do not natively support eSIM technology.
- Unused data balances or expired wholesale data allocations.
2. SMARTPHONE & HARDWARE RETURN POLICY
For bulk hardware distributions, enterprise devices, or smartphones:
- Any claims for physical devices received damaged or structurally defective must be reported within fourteen (14) days of delivery.
- Unopened, non-activated hardware in its original manufacturer packaging may be returned subject to a 15% restocking fee, with return shipping costs covered by the purchasing business entity.
- Once a device is unboxed, turned on, or has its factory seals broken, it cannot be returned unless covered under an active manufacturer warranty claim.
This website, platform, and associated B2B telecommunication services are owned, managed, and operated globally by PHONE SYSTEM GLOBAL INC., a company legally incorporated and in good standing under the laws of the State Delaware, United States.
Governing Jurisdiction: This policy is governed strictly by the commercial laws of the United States.
3. The Governing Law and Dispute Resolution Clause
Governing Law and Dispute Resolution. This Agreement shall be governed by, and construed in accordance with, the laws of the State of New York, without regard to its conflict of laws principles. Any dispute, controversy, or claim arising out of or relating to this Agreement, including the breach, termination, or validity thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be New York, New York, and the proceedings shall be conducted in English. Notwithstanding the foregoing, either party may apply to any court of competent jurisdiction for injunctive relief or other interim measures. Furthermore, the Company reserves the exclusive right to bring collection actions for unpaid balances, or to enforce intellectual property rights, in the state or federal courts located in Washington, D.C. or Fairfax County, Virginia, and User hereby consents to the personal jurisdiction of such courts for those limited purposes.
4. The Limitation of Liability Clause
In the telecom and eSIM space, a system outage can cause your business customers to lose connectivity and claim they lost thousands of dollars in revenue. This clause acts as a shield. It explicitly states that you are not responsible for their lost profits, and it caps your total financial risk at the amount they actually paid you.
Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE API, WHITE-LABEL PORTALS, OR ESIM PROFILES. UNDER NO CIRCUMSTANCES WILL THE COMPANY BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICE; (III) ANY UPTIME DISRUPTIONS, NETWORK OUTAGES, OR FAILURE TO FULFILL WHOLESALE ESIM PROFILE ORDERS; OR (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY. IN NO EVENT SHALL THE COMPANY’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, OR COSTS EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
5. API Key and Security Clause
API Key Security and Access Credentials. The Company will provide the Customer with unique access credentials, tokens, or API keys to connect to the wholesale eSIM provisioning systems and white-label portals. Customer acknowledges and agrees that it is solely responsible for maintaining the absolute confidentiality, security, and restricted access of these credentials. Customer is entirely liable for all activities, data transmissions, and financial transactions—including all wholesale eSIM profile purchases and fulfillment orders—that occur under its API keys or portal accounts, regardless of whether such actions were authorized by the Customer.
Customer agrees to notify the Company immediately in writing at [Insert Security Email] upon discovering any unauthorized use of its API keys, portal accounts, or any other suspected breach of system security. Upon receiving such notice, the Company will use commercially reasonable efforts to deactivate the compromised credentials. However, the Company assumes no liability for any losses, unauthorized data access, or fraudulent billing incurred by the Customer prior to the successful deactivation of the compromised credentials.
By accessing our API, white-label portals, or ordering wholesale eSIM profiles, you explicitly agree that any contractual disputes, legal claims, or arbitration will be governed strictly under the corporate jurisdictions of the United States, without regard to conflict of law principles.
